1. Definitions
1.1 “IBSAShop.nl”: the B2B webshop operated by 72 dpi products B.V., supplying IBSA Derma products to professional clinics.
1.2 “Customer”: a professional clinic approved by IBSA and deLairesse Apotheek to order through the webshop.
1.3 “Products”: all medical and aesthetic products offered through IBSAShop.nl, intended strictly for professional use.
1.4 “Account Manager”: an authorised user assigned by the Customer to place orders on their behalf.
1.5 “Supplier”: deLairesse Apotheek, responsible for fulfilment, invoicing, and payment processing.
1.6 “Transport Partner”: Logicall, receiving shipment data via an API managed by deLairesse Apotheek.
2. Applicability
2.1 These Terms & Conditions apply to all offers, orders, deliveries, and agreements conducted via IBSAShop.nl.
2.2 By placing an order, the Customer unconditionally agrees to these Terms & Conditions.
2.3 IBSAShop.nl reserves the right to refuse Customers at its discretion.
3. Registration, Approval & Account Security
3.1 Access is limited to verified clinics approved by IBSA and deLairesse Apotheek.
3.2 Customers must ensure all account information is accurate and up to date.
3.3 Customers are fully responsible for all actions performed by their assigned Account Managers.
3.4 IBSAShop.nl accepts no liability for unauthorised account use due to compromised login credentials.
4. Orders & Acceptance
4.1 Orders placed through IBSAShop.nl constitute an offer; acceptance occurs only after an official confirmation.
4.2 Orders may be refused or cancelled in case of errors, stock issues, incorrect data, misuse, or regulatory restrictions.
4.3 Once confirmed, orders are binding.
5. Prices, Discounts & Payment Terms
5.1 Prices are exclusive of VAT unless otherwise stated.
5.2 Customer-specific prices and discounts are synchronised from Exact Online via Xcore.
5.3 All invoicing and payment processing is performed by deLairesse Apotheek.
5.4 Payment must be made within the term stated on the invoice.
5.5 IBSAShop.nl is not liable for discrepancies caused by synchronisation delays.
6. Delivery, Shipping & Risk Transfer
6.1 Shipments are handled by Logicall based on shipment data submitted via a deLairesse-managed API.
6.2 Delivery dates and time slots are indicative only and not legally binding.
6.3 Risk transfers to the Customer upon delivery to the specified address.
6.4 IBSAShop.nl is not responsible for carrier delays or errors caused by third parties.
7. Returns & Non-Conformity
7.1 Due to the medical nature of Products, returns are only accepted with explicit written approval.
7.2 Returned Products must be unopened, unused, and in original condition.
7.3 Any defect or non-conformity must be reported within 48 hours of delivery with supporting evidence.
8. Product Use & Compliance
8.1 Products are intended exclusively for professional use within the Customer’s clinic by trained medical personnel.
8.2 Unlicensed, illegal, or off-label use is prohibited.
8.3 Customers must comply with all applicable laws, regulations, and medical guidelines.
8.4 IBSAShop.nl is not liable for damages arising from misuse, improper storage, or incorrect administration.
8. Prohibition on Resale
8A.1 All Products are supplied strictly for the Customer’s own clinical use.
8A.2 Resale, redistribution, transfer, loan, or any onward commercial supply is strictly prohibited.
8A.3 Products may not be provided to other clinics, distributors, resellers, consumers, or any third party.
8A.4 Violation constitutes a material breach and may result in immediate account suspension, cancellation of pending orders, blacklisting, and notification to IBSA Corporate Compliance.
9. Limitation of Liability
9.1 IBSAShop.nl’s total liability is limited to the invoiced value of the specific order concerned.
9.2 IBSAShop.nl is not liable for indirect damages, lost profits, delays, carrier errors, or data inaccuracies from third-party systems.
9.3 Customers must indemnify IBSAShop.nl for third-party claims resulting from misuse of Products.
10. Data Protection & Processing
10.1 Customer data is processed in accordance with the GDPR.
10.2 Data may be processed within the systems of Softbotics (WooCommerce), deLairesse (Exact Online), Xcore, and Logicall (via deLairesse API).
10.3 Payment and billing data are managed solely by deLairesse Apotheek.
10.4 Customers are responsible for ensuring the accuracy of their delivery information.
11. Force Majeure
11.1 IBSAShop.nl is not liable for failures caused by events beyond its control, including technical disruptions, transport issues, pandemics, or external system failures.
12. Modifications
12.1 IBSAShop.nl may amend these Terms & Conditions at any time.
12.2 The latest version published on the website applies to all subsequent orders.
13. Governing Law & Jurisdiction
13.1 These Terms & Conditions are governed exclusively by Dutch law.
13.2 All disputes shall be submitted to the competent court in Amsterdam.
